These terms explain the rules for using the SuryaWebStudio website and engaging SuryaWebStudio for services.

1. Agreement to these terms

By accessing this website, submitting an enquiry, contacting SuryaWebStudio, requesting a quote, or purchasing services, you agree to these Terms and Conditions. If you do not agree, please do not use the website or services.

These terms apply together with any written proposal, quotation, invoice, statement of work, or separate service agreement accepted by both parties. If an accepted service agreement conflicts with these terms, that agreement controls for the specific engagement.

2. About SuryaWebStudio

SuryaWebStudio is a freelance studio based in India providing web development, web design, SEO, lead generation, social media marketing, WhatsApp automation, and related digital services.

3. Services and scope

Services may include websites, landing pages, UI/UX design, SEO setup, lead-generation systems, social media content and management, WhatsApp workflows, integrations, maintenance, and related digital work.

The exact deliverables, timeline, price, revision rounds, hosting arrangements, third-party tools, and client responsibilities will be stated in the applicable written proposal or agreement. Website descriptions and starting prices are indicative and are not a binding offer to provide every feature at that price.

4. Enquiries, quotes, and acceptance

Submitting an enquiry does not create a client relationship or guarantee that SuryaWebStudio will accept the project. A project begins only after scope and price are confirmed in writing and any required deposit or first payment is received.

Quotes are based on the information available when prepared and may be revised if the scope, requirements, content, integrations, or timeline changes. Unless stated otherwise, a quote remains valid for 30 days.

5. Fees and payment

Fees are stated in the applicable proposal, invoice, or agreement. Work may be scheduled after any required deposit or initial payment clears. Ongoing services are payable according to the agreed billing schedule.

Third-party costs such as hosting, domains, paid plugins, APIs, messaging charges, advertising spend, stock assets, email platforms, and software subscriptions are separate unless expressly included in writing. Late or missed payments may pause work, support, access, or publication until the account is current.

6. Changes and revisions

Included revision rounds, if any, will be stated in the proposal. A revision means a reasonable change to an agreed deliverable; it does not mean a new concept, new website structure, or material scope change.

New pages, features, integrations, content, or substantial changes requested after approval may be quoted separately and may change the delivery timeline.

7. Client responsibilities

The client must provide accurate information, timely feedback, brand assets, content, access credentials, approvals, legal notices, and other materials reasonably needed to perform the work. The client is responsible for reviewing and approving content, pricing, claims, contact information, legal disclosures, and final deliverables before publication.

The client confirms that materials supplied to SuryaWebStudio are owned by the client or properly licensed and do not infringe another person’s rights or violate applicable law.

8. Content, marketing, and results

SuryaWebStudio performs services with reasonable care and skill, but does not guarantee a specific number of leads, enquiries, sales, followers, rankings, revenue, or other business outcome. Results depend on factors outside our control, including the market, offer, budget, competition, platform policies, audience behavior, and client response times.

The client remains responsible for ensuring that its products, services, offers, claims, promotions, privacy notices, consent practices, and marketing communications comply with applicable laws and platform rules.

9. Intellectual property

Unless agreed otherwise in writing, the client owns final, fully paid-for custom deliverables created specifically for that client, subject to third-party licenses and pre-existing materials.

SuryaWebStudio retains ownership of pre-existing code, reusable components, templates, know-how, workflows, processes, generic techniques, and materials not created exclusively for the client. Third-party assets and services remain subject to their own licenses and terms.

10. Portfolio and publicity

Unless the client asks in writing for confidentiality, SuryaWebStudio may identify the client and display non-confidential screenshots, links, or descriptions of completed work in its portfolio and marketing materials. We will not intentionally publish confidential information supplied for the project.

11. Third-party services

Projects may use hosting platforms, domains, Google Fonts, WhatsApp, email services, APIs, social-media platforms, payment providers, scheduling tools, or software libraries. Those services are controlled by their respective providers and may change, become unavailable, impose fees, or have separate terms.

SuryaWebStudio is not responsible for third-party outages, account suspensions, policy changes, data loss caused by a provider, pricing changes, or failures outside our reasonable control.

12. Website use

You must not misuse the website, attempt unauthorized access, interfere with its operation, introduce malicious code, burden the service, impersonate another person, submit false information, or use the website for unlawful or fraudulent purposes.

13. Confidentiality

Each party should protect non-public business, technical, commercial, and personal information received from the other party and use it only for the relevant engagement. This does not apply to information that is public through no fault of the receiving party, already lawfully known, independently developed, or required to be disclosed by law.

14. Cancellation and termination

Either party may request cancellation in writing. On cancellation, the client must pay for work completed, approved expenses, non-refundable third-party costs, and any cancellation amounts stated in the applicable proposal or agreement.

SuryaWebStudio may suspend or terminate an engagement if the client fails to pay, repeatedly fails to provide required information, requests unlawful work, abuses personnel, or materially breaches these terms.

15. Refunds

Refund eligibility depends on the applicable proposal, invoice, agreement, and mandatory consumer-protection law. Deposits may be non-refundable to the extent they reserve time, cover work already performed, or cover third-party costs. Nothing in these terms excludes a right or remedy that cannot legally be excluded.

16. Disclaimers

The website and general information are provided on an “as available” basis. We do not guarantee that the website will always be uninterrupted, error-free, completely secure, or compatible with every device, browser, platform, or future software update.

Unless expressly stated in writing, SuryaWebStudio does not provide legal, tax, accounting, financial, medical, employment, or regulatory advice. Obtain advice from an appropriately qualified professional when needed.

17. Limitation of liability

To the maximum extent permitted by law, SuryaWebStudio will not be liable for indirect, incidental, special, consequential, exemplary, or loss-of-profit damages, loss of revenue, loss of data, loss of goodwill, business interruption, or losses caused by third-party platforms or the client’s use of a deliverable.

To the maximum extent permitted by law, total liability arising from a specific engagement will not exceed the amount actually paid to SuryaWebStudio for that engagement during the three months before the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited or excluded.

18. Governing law and changes

These terms are governed by the laws of India, without regard to conflict-of-law principles. The parties will first try in good faith to resolve disputes through direct written communication. Subject to mandatory rights under applicable law, unresolved disputes will be submitted to courts with appropriate jurisdiction in India.

We may update these terms when the website, services, pricing process, or legal requirements change. The revised version will be posted on this page with a new “Last updated” date.
